1. Agreement to Terms

Welcome to CheersFriends ("Platform," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CheersFriends regarding your access to and use of the website cheersfriends.cc and all related services.

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Platform.

These Terms comply with applicable laws in Singapore and Thailand, including the Consumer Protection (Fair Trading) Act (Singapore) and the Consumer Protection Act B.E. 2522 (Thailand).

2. Eligibility

To use CheersFriends, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Platform under any applicable laws
• Not have been previously banned or suspended from the Platform
• Provide accurate and truthful information during registration

We reserve the right to verify your age and identity. Minors under 18 are strictly prohibited from using the Platform.

3. Account Registration and Security

3.1 Account Creation

You must create an account to access certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account with others
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. User Conduct and Prohibited Activities

You agree NOT to:

• Harass, abuse, threaten, or intimidate other users
• Post false, misleading, or fraudulent content
• Upload sexually explicit, violent, or illegal content
• Impersonate any person or entity
• Use the Platform for commercial solicitation without permission
• Spam, phish, or engage in fraudulent activities
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Use automated tools (bots, scrapers) without authorization
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Platform's operation
• Collect personal information of other users without consent

5. User Content

5.1 Content Ownership

You retain ownership of content you post ("User Content"). However, by posting content, you grant CheersFriends a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your content in connection with operating and promoting the Platform.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have necessary rights to post the content
• Your content does not violate any laws or third-party rights
• Your content is accurate and not misleading

5.3 Content Moderation

We reserve the right (but have no obligation) to monitor, review, and remove User Content that violates these Terms or applicable laws, without prior notice.

6. Subscriptions and Payments

6.1 Premium Memberships

CheersFriends offers free and paid premium memberships. Premium features may include:

• Unlimited messaging
• Advanced filters and search
• Profile boosting and visibility
• Access to premium features (as specified)

6.2 Payment Terms

• Payments are processed securely through our payment provider
• Prices are displayed and subject to change with notice
• Subscriptions auto-renew unless cancelled before the renewal date
• All sales are final unless required by law
• We reserve the right to change pricing with 30 days' notice

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Refunds are provided only as required by applicable consumer protection laws in Singapore and Thailand.

6.4 Marketplace Transactions

CheersFriends facilitates marketplace transactions but is not a party to them. Sellers are responsible for fulfilling orders. Buyers and sellers must resolve disputes directly.

7. Intellectual Property Rights

All content on the Platform (excluding User Content), including text, graphics, logos, icons, images, and software, is the property of CheersFriends and protected by copyright and trademark laws.

You may not copy, modify, distribute, sell, or exploit any Platform content without our express written permission.

8. Third-Party Services and Links

Our Platform may contain links to third-party websites or integrate with third-party services. We are not responsible for:

• The content, privacy practices, or terms of third-party sites
• Any transactions or interactions with third parties
• Any loss or damage caused by your use of third-party services

9. Disclaimers and Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and accuracy of content.

10. Limitation of Liability

To the maximum extent permitted by law, CheersFriends shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, personal injury, or emotional distress.

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim, or SGD $100 (whichever is greater).

11. Indemnification

You agree to indemnify and hold harmless CheersFriends from any claims, damages, and expenses arising from your violation of these Terms, your User Content, or your breach of applicable laws.

12. Termination

12.1 Termination by You

You may terminate your account at any time through account settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms, we suspect fraudulent activity, or as required by law.

12.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions regarding intellectual property, disclaimers, and limitation of liability survive termination.

13. Dispute Resolution and Governing Law

13.1 Governing Law

• Singapore: For users based in Singapore
• Thailand: For users based in Thailand

13.2 Dispute Resolution

13.3 Arbitration (Singapore Users)

Disputes shall be referred to arbitration in Singapore under SIAC rules.

13.4 Jurisdiction (Thailand Users)

Legal actions shall be brought in the competent courts of Thailand.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms, sending email notifications, or displaying a notice on the Platform. Continued use constitutes acceptance.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CheersFriends.

15.2 Severability

If any provision is found invalid, the remaining provisions remain in full force.

15.3 Waiver

Our failure to enforce any right does not constitute a waiver of such right.

15.4 Language

These Terms are provided in English and Thai. In case of conflict, the English version prevails.
